Association By-laws
These by-laws were adopted at the founding General Assembly held in Strasbourg on September 29, 2021.
Article 1 – Formation and Name
Between all persons adhering to these by-laws, an association is formed under the name Association Des Étudiants CAWEB (ADECAWEB), governed by Articles 21 to 79-III of the Local Civil Code maintained in force in the departments of Haut-Rhin, Bas-Rhin and Moselle, as well as by these by-laws. It is registered in the associations register of the Strasbourg District Court.
Article 2 – Purpose
The association’s purpose is:
The organization of tutoring sessions between students The creation of links between different cohorts The organization of events: welcome gathering, Christmas gathering, graduation ceremony… The management of the integration and mentorship evening The management of relations with companies, individuals and partners The organization of study trips The building of a CAWEB student community The promotion of student life The association does not pursue any profit-making, religious or political purpose.
Article 3 – Means of Action
The association’s means of action include the holding of working meetings and periodic assemblies, the permanent or occasional sale of any products or services falling within the scope of its purpose, as well as any initiatives that may help achieve it.
Article 4 – Duration
The duration of the association is indefinite.
Article 5 – Registered Office
The registered office is located at the University of Strasbourg, 22 rue René Descartes, 67084 Strasbourg. It may be transferred by a simple decision of the bureau.
Article 6 – Membership
The association is composed of:
Active members: members who regularly participate in activities and actively contribute to achieving the association’s goals Honorary members: members who have rendered services to the association, exempt from membership fees and without voting rights
Article 7 – Membership Fees
The annual membership fee is set by the Ordinary General Assembly. It amounts to:
€5 for students €10 for professors and former students A one-off fee may be proposed by the bureau for a specific event. It does not confer voting rights within the association.
Article 8 – Membership Conditions
Any current or former student of the CAWEB master’s program may join the association. Students of the University of Strasbourg may also join. All memberships are renewable annually.
Article 9 – Loss of Membership
Membership is lost upon death, written resignation addressed to the president, exclusion decided by the Board of Directors for serious misconduct, or removal for non-payment of membership fees.
Article 10 – Board of Directors
The association is administered by a Board of Directors of 9 members, elected by secret ballot for 1 year by the Ordinary General Assembly. Renewal takes place in October. Outgoing members are eligible for re-election.
Article 11 – Eligibility for the Board of Directors
Any member of the association who is at least eighteen years of age on the day of the election and is not subject to a legal protection measure is eligible.
Article 12 – Board of Directors Meetings
The Board of Directors meets at least twice a year. The presence of at least half of its members is required for valid deliberation. Resolutions are passed by a majority of members present.
Article 13 – Remuneration
Members of the Board of Directors may not receive any remuneration in respect of the duties entrusted to them.
Article 14 – Expense Reimbursements
Only expenses incurred in the performance of their duties are reimbursed to members of the Board of Directors, upon presentation of supporting documents.
Article 15 – Powers of the Board of Directors
The Board of Directors is vested with the broadest powers to make all decisions not reserved for the General Assembly. It rules on admissions, confers honorary membership titles, and decides on any exclusion or removal measures.
Article 16 – Bureau
The bureau is elected by the Board of Directors for one year. It is composed of:
A president A vice-president A secretary A treasurer A communications officer (and possibly a deputy) An events officer (and possibly a deputy)
Article 17 – General Assemblies
General Assemblies bring together all members of the association. They are convened by the Board of Directors with a minimum notice of 7 days, by individual letter or electronic message stating the agenda.
Article 18 – Ordinary General Assembly
The Ordinary General Assembly is held in October. It approves the accounts, sets the membership fee amounts, and proceeds with the renewal of Board of Directors members. Decisions are made by a majority of members present or represented.
Article 19 – Extraordinary General Assembly
The Extraordinary General Assembly has authority over amendments to the by-laws, dissolution, and the transfer of the association’s assets. Resolutions are passed by a two-thirds majority of members present, by secret ballot.
Article 20 – Resources
The association’s resources consist of membership fees, any subsidies from local authorities, income from assets belonging to the association, and any other resources permitted by law.
Article 21 – Auditors
The accounts kept by the treasurer are audited annually by two auditors elected for one year by the president.
Article 22 – Dissolution
Dissolution is decided by an Extraordinary General Assembly convened specifically for that purpose. In the event of dissolution, the remaining net assets are allocated to one or more associations pursuing similar goals, as designated by the Extraordinary General Assembly.
Article 23 – Internal Regulations
The Board of Directors may establish internal regulations specifying the terms of implementation of these by-laws, subject to approval by the Ordinary General Assembly.
